  1. LICENSE AGREEMENT FOR THE REALPLAYER

  4. IMPORTANT -- READ CAREFULLY: By clicking 
  5. on the Next button or by opening the sealed 
  6. packet(s) to make and utilize copies of the 
  7. RealPlayer and accompanying software 
  8. ("Software") Licensee agrees to be and is hereby bound 
  9. by the terms of this License Agreement ("Agreement").  
  10. If Licensee does not agree to the terms of this 
  11. Agreement, Licensee must promptly destroy all 
  12. copies of the Software and accompanying 
  13. documentation ("Documentation") and obtain a full 
  14. refund of any fees paid from Progressive Networks Inc. 
  15.  
  16. I. GRANT OF LICENSE: 
  17.  
  18. Progressive Networks Inc. ("PN") hereby grants to 
  19. Licensee a non-exclusive license to use the 
  20. Software and Documentation subject to the following 
  21. terms: 
  22.  
  23. Licensee may: (i) use the Software on any single 
  24. computer; (ii) use the Software on a second 
  25. computer so long as the first and second 
  26. computers are not used simultaneously; (iii) copy 
  27. the Software for back-up, archival purposes provided any 
  28. copy must contain all of the original Software's 
  29. proprietary notices. 
  30.  
  31. Licensee may not: (i) permit other individuals to use 
  32. the Software except under the terms listed above; 
  33. (ii) modify, translate, reverse, engineer, decompile, 
  34. disassemble (except to the extent that this 
  35. restriction is expressly prohibited by law) or create 
  36. derivative works based upon the Software or 
  37. Documentation; (iii) copy the Software or 
  38. Documentation (except for back-up purposes); (iv) 
  39. rent, lease, transfer, or otherwise transfer rights to the 
  40. Software or Documentation; or (v) remove any 
  41. proprietary notices or labels on the Software or 
  42. Documentation.

  44. II.  SOFTWARE: 
  45.  
  46. If Licensee receives the first copy of the Software 
  47. electronically and a second copy on media the 
  48. second copy may be used for archival purposes 
  49. only and may not be transferred to or used by any other 
  50. person.  This license does not grant Licensee any 
  51. right to any enhancement or update. 
  52.  
  53. III. TITLE: 
  54.  
  55. Title, ownership, rights, and intellectual property 
  56. rights in and to the Software and Documentation 
  57. shall remain in PN and/or its suppliers. The 
  58. Software is protected by the copyright laws of the 
  59. United States and international copyright treaties.  
  60. Title, ownership rights and intellectual property 
  61. rights in and to the content accessed through the 
  62. Software including the content contained in the 
  63. Software media demonstration files is the property 
  64. of the applicable content owner and may be 
  65. protected by applicable copyright or other law. This 
  66. license gives Licensee no rights to such content.

  68. IV. DISCLAIMER OF WARRANTY: 
  69.  
  70. Product is deemed accepted by Recipient. The
  71.  PRODUCT is provided AS IS WITHOUT 
  72. WARRANTY OF ANY KIND.  TO THE MAXIMUM 
  73. EXTENT PERMITTED BY APPLICABLE LAW, 
  74. PROGRESSIVE NETWORKS FURTHER DISCLAIMS 
  75. ALL WARRANTIES, INCLUDING WITHOUT 
  76. LIMITATION ANY IMPLIED WARRANTIES OF 
  77. MERCHANTABILITY, FITNESS FOR A 
  78. PARTICULAR PURPOSE, AND 
  79. NONINFRINGEMENT. THE ENTIRE RISK ARISING 
  80. OUT OF THE USE OR PERFORMANCE OF THE 
  81. PRODUCT AND DOCUMENTATION REMAINS 
  82. WITH RECIPIENT. TO THE MAXIMUM EXTENT
  83. PERMITTED BY APPLICABLE LAW, IN NO EVENT 
  84. SHALL PROGRESSIVE NETWORKS OR ITS 
  85. SUPPLIERS BE LIABLE FOR ANY 
  86. CONSEQUENTIAL, INCIDENTAL, DIRECT, 
  87. INDIRECT, SPECIAL, PUNITIVE, OR OTHER 
  88. DAMAGES WHATSOEVER (INCLUDING, 
  89. WITHOUT LIMITATION, DAMAGES FOR LOSS OF 
  90. BUSINESS PROFITS, BUSINESS INTERRUPTION, 
  91. LOSS OF BUSINESS INFORMATION, OR OTHER 
  92. PECUNIARY LOSS) ARISING OUT OF THIS 
  93. AGREEMENT OR THE USE OF OR INABILITY TO 
  94. USE THE PRODUCT, EVEN IF PROGRESSIVE 
  95. NETWORKS HAS BEEN ADVISED OF THE 
  96. POSSIBILITY OF SUCH DAMAGES. BECAUSE 
  97. SOME STATES/JURISDICTIONS DO NOT ALLOW 
  98. THE EXCLUSION OR LIMITATION OF LIABILITY 
  99. FOR CONSEQUENTIAL OR INCIDENTAL 
  100. DAMAGES, THE ABOVE LIMITATION MAY NOT 
  101. APPLY TO RECIPIENT.

  103. V. TERMINATION: 
  104.  
  105. This license shall terminate automatically if 
  106. Licensee fails to comply with the limitations 
  107. described in this license.  No notice shall be required
  108. from PN to effectuate such termination.  On termination 
  109. Licensee must destroy all copies of the Software and 
  110. Documentation. 
  111.  
  112. VI. U.S. GOVERNMENT RESTRICTED RIGHTS 
  113. AND EXPORT RESTRICTIONS: 
  114.  
  115. The Software is provided with RESTRICTED 
  116. RIGHTS. Use duplication or disclosure by the 
  117. Government is subject to restrictions as set forth in 
  118. subparagraph (c)(1)(ii) of The Rights in Technical 
  119. Data and Computer Software clause of DFARS 
  120. 252.227-7013 or subparagraphs (c)(i) and (2) of the 
  121. Commercial Computer Software-Restricted Rights 
  122. at 48 CFR 52.227-19 as applicable. Manufacturer 
  123. is Progressive Networks 1111 Third Avenue Suite 2900
  124. Seattle Washington 98101. Licensee acknowledges that 
  125. none of the Software or underlying information or 
  126. technology may be download or otherwise exported or 
  127. re-exported (i) into (or to a national or resident of) 
  128. Angola, Cuba, Iran, Iraq, Libya, North Korea, Sudan, 
  129. Syria, or any other country to which the U.S. has 
  130. embargoed goods; or anyone on the U.S. Treasury 
  131. Department's list of Specially Designated Nationals or 
  132. the U.S. Commerce Department's Table of Denial 
  133. Orders.  By using the Software Licensee is agreeing to 
  134. the foregoing and is representing and warranting 
  135. that it is not located in under the control of a 
  136. national or resident or resident of any such country 
  137. or on any such list.

  139. VII. GOVERNING LAW: 
  140.  
  141. This License Agreement shall be governed by the laws
  142. of the State of Washington without regard to 
  143. conflicts of law provisions and Recipient consents 
  144. to the exclusive jurisdiction of the state and federal
  145. courts sitting in the State of Washington. This 
  146. License Agreement will not be governed by the
  147. United Nations Convention of Contracts for the
  148. International Sale of Goods, the application of which
  149. is hereby expressly excluded.

  151. VIII. ENTIRE AGREEMENT: 
  152.  
  153. This agreement constitutes the complete and 
  154. exclusive agreement between PN and Licensee 
  155. with respect to the subject matter hereof and 
  156. supersedes all prior oral or written understandings, 
  157. communications or agreements not specifically 
  158. incorporated herein.  This agreement may not be 
  159. modified except in a writing duly signed by an 
  160. authorized representative of PN and Licensee.
